Location: Atlanta, GA, Denver, CO, St. Louis, MO, or Charlotte, NC

Compensation: $200k+ (dependent on experience, location, and expertise)

We are seeking a highly motivated and skilled mid-level associate with 3-6 years of experience to join our Employee Benefits and Executive Compensation practice. This role is based in one of our offices located in Atlanta, Charlotte, Denver, or St. Louis. Responsibilities:

  • Provide expert counsel on ERISA regulations, fiduciary duties, and relevant sections of the Internal Revenue Code (e.g., 409A, 280G).
  • Draft and review executive compensation agreements, including stock option plans, deferred compensation arrangements, and other incentive programs, ensuring compliance.
  • Conduct due diligence on employee benefit plans during mergers and acquisitions, and assist in negotiating and drafting purchase agreement provisions.
  • Perform comprehensive legal research and analysis on complex employee benefits and executive compensation issues.
  • Utilize legal research databases and Microsoft Office Suite to efficiently manage and execute client matters.

Qualifications:

  • 3-6 years of experience in employee benefits and executive compensation law within a reputable law firm.
  • Strong understanding of ERISA and the Internal Revenue Code.
  • Proven experience in M&A transactions and related due diligence.
  • Excellent written and oral communication skills.
  • Strong analytical and problem-solving abilities.
  • Proficiency in legal research databases and Microsoft Office Suite.
  • Ability to manage multiple priorities and effectively work within a team environment.
